1. Submission and acceptance
Submitting information or photographs does not create an obligation on Alderton & Grey to accept or offer the property for sale. A consignment begins only when Alderton & Grey confirms acceptance in writing and the parties have agreed any material sale instructions.
2. Ownership and authority
The seller confirms that they are the lawful owner of the property or are fully authorised by the owner to sell it, and that they are entitled to transfer good title to a purchaser. The seller must disclose any lien, charge, finance interest, ownership dispute, export restriction or other third-party right affecting the property.
3. Description, provenance and condition
The seller must provide information known to them that is material to authorship, attribution, provenance, condition, restoration, authenticity, title and lawful ownership. Alderton & Grey may research, catalogue, photograph and describe accepted property using the information supplied and other sources reasonably available to us.
4. Price and valuation
The seller may state the price they wish to achieve or request an indicative valuation from Alderton & Grey. Any valuation is an opinion only for the purpose of considering a possible sale unless a separate written formal valuation service is agreed. The asking price, reserve or minimum acceptable price, if any, will be agreed before sale.
5. Commission
On a completed sale, Alderton & Grey charges the seller a commission of 20% of the final sale price. The commission is deducted from the sale proceeds before the balance is remitted to the seller.
Any VAT legally chargeable on the commission will be accounted for in accordance with applicable law. No other material seller expense will be charged unless agreed in advance.
6. Payment to the seller
Net proceeds become payable to the seller only after Alderton & Grey has received cleared purchaser funds, completed any required AML/KYC or sanctions checks, and any applicable cancellation, rejection or return rights have expired or been resolved. Payment will be made by the method agreed with the seller.
7. Purchaser payment, including cryptocurrency
Purchasers normally pay by bank transfer. Where a purchaser asks to pay in cryptocurrency and Alderton & Grey agrees, Alderton & Grey will send the purchaser the appropriate cryptocurrency wallet address and payment instructions after the transaction and compliance requirements have been confirmed. Purchasers must not send cryptocurrency to any wallet that has not been supplied or verified by Alderton & Grey for that transaction.
The purchaser's choice of payment method does not alter the seller commission or the seller's obligation to complete required due diligence.
8. AML/KYC, sanctions and due diligence
Sellers are required to provide such information and documents as Alderton & Grey reasonably requests to comply with applicable anti-money-laundering, know-your-customer, sanctions and financial-crime rules. This may include photographic identification, proof of address, beneficial ownership information, source-of-funds or source-of-wealth information where appropriate, and documentary evidence of ownership and provenance.
Alderton & Grey may decline, suspend or terminate a proposed consignment or sale where satisfactory due diligence cannot be completed or where we are required to do so by law.
9. Withdrawal
A seller wishing to withdraw an accepted work should contact Alderton & Grey before a sale is agreed. Once a binding sale has been concluded, the seller must complete the transaction unless the purchaser and Alderton & Grey agree otherwise or the law requires a different result.
10. Governing law
Unless mandatory law provides otherwise, these Seller Terms and any consignment agreement are governed by the laws of England and Wales and subject to the jurisdiction of the courts of England and Wales.
